ceoMom Terms of Use

BY USING CEOMOM.COM, YOU ARE ACCEPTING THIS AGREEMENT AND THEREFORE ENTERING INTO A LEGALLY BINDING AGREEMENT BASED ON THESE TERMS WITH CEOMOM.

Effective January 1, 2008

Welcome to ceoMom! ceoMom.com is a community website including social networking that enables you to connect with other ceoMoms. The Services ("Services") offered by ceoMom ("ceoMom," "ceoMom.com," "ceoMom dot com" or "we") include the ceoMom.com website. This website is operated by ceoMom, LLC and is hosted in the US.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the ceoMom Services. By using the ceoMom Services, you agree to be bound by this Agreement, whether you are a "Visitor" (meaning you are not registered and are viewing the site) or you are a "Member" or registered "ceoMom" (meaning you have registered with the site). The term "User" refers to a Visitor or a Member. You are only authorized to use the ceoMom Services (regardless of your intentions) if you agree to abide by all the applicable laws and to this Agreement. If you do not agree to this Agreement, you should immediately discontinue use of the Site. If you do desire to become a Member, you must read and accept this Agreement and check the box indicating your acceptance during the registration process.

Modifications

At our sole discretion, we reserve the right to change, modify, delete or add sections of these Terms at any time without notice. In the event we update or modify our Terms of Use, other than minor revisions, we will post a notice on the homepage (www.ceomom.com) under the "news" section. Your continued use of the website indicates your acceptance of the new Terms of Use. If you do not agree with any changes to the terms, please stop using the website. It is your responsibility to regularly check the website to determine if any such changes or updates have occurred with the Terms of Use. We Care About Your Safety

Any of your posts through ceoMom Services may not include the following:

• Telephone numbers
• Street Addresses
• Last Names
• Email Addresses
• Any photographs containing nudity or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter.
• You may also not upload, post, message or share unsolicited business opportunities including marketing products intended to make money as well as advertising, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation to any other Member of ceoMom.

Despite this prohibition, information provided by other Members anywhere in their account may contain inaccurate, inappropriate, offensive or sexually explicitly material, products or services and ceoMom assumes no responsibility or liability for this material. Please, if you become aware of misuse of the ceoMom Services by any person, please contact ceoMom by filling out the "Report Abuse" link.

ceoMom reserves the right, in its sole discretion, to reject, refuse to post or remove any posting whether public or private by you or to restrict, suspend or terminate your access to any or all parts of the ceoMom Services at any time or any reason with or without notice and without liability. At the sole discretion of ceoMom, we reserve the right to remove your profile or terminate your access should you pose a threat to ceoMom and/or any of its Users.

Intended Audience

ceoMom.com is intended for mothers and solely for users who are thirteen (13) years of age or older. Any registration by, use of or access to the Site by anyone under 13 is unauthorized, unlicensed and in violation of these Terms of Use. By using the Service or the Site, you represent and warrant that you are 13 or older and that you agree to and to abide by all of the terms and conditions of this Agreement. Your account may be terminated without warning if we believe you are under 13 years of age. Membership in the Service is void where prohibited.

Registration and Personal Information

By intending to use or using the site, you agree to (a) provide accurate, current and complete information about you when registering and maintain accuracy throughout your use (b) maintain the security of your password and identification; (c) your use of ceoMom Services does not violate any applicable law or regulation; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

Privacy

ceoMom is governed by our Privacy Policy and is part of this Agreement. We may, at our sole discretion, change or update our Privacy Policy. User Conduct and Content

You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. In sole judgment, ceoMom may delete (without warning) any user Content that violates this Agreement or which may be offensive, illegal or violate the rights, harm or threaten the safety of any person. ceoMom assumes no responsibility for monitoring the ceoMom Services. You are solely responsible for the Content you post on or through any of the ceoMom services and any and all material or information you transmit to other Members including your interactions with others. ceoMom makes no warranties as to the Content, express or implied, or the accuracy of the Content. You are solely responsible at your sole cost and expense for creating backup copies and replacing any user Content you post or store on the Site or provide to ceoMom.

Users may not post any of the following on ceoMom.com:

• Any photographs containing nudity or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter.
• Any Content that exploits people in a sexual or violent manner.
• Content that harasses or advocates harassment of another person.
• Any offensive language that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
• Any solicitations to gain personal information from anyone under 18.
• Phone numbers, street addresses, last names and email addresses
• Promoting information that you know is false or misleading or promotes illegal activities or conduct that is abusive, obscene or libelous or any of the sort.

Furthermore, you are in violation of this Agreement in the event of the following:

• Sending unsolicited communication or emails for a purpose other than a proper usage of the Site.
• Advertising to or soliciting any Member to buy or sell any products or services through ceoMom Services.
• Using the Site in any unlawful manner that could damage, disable, overburden or impair the Site.
• Displaying an advertisement on your Portfolio or accepting payment or anything of value from a third party in exchange for commercial activity.
• Using automated scripts to collect information or to harvest or collect information of others for the purpose of sending unsolicited messages.
• Registration of more than one User account or registering for a User account on behalf of an individual or group.
• Impersonating any person or entity or otherwise misrepresenting yourself, your age or any other attribute.
• Automating the Site by use of scripts of any kind.
• Promoting an illegal or unauthorized copy of another person's copyrighted work.
• Uploading, posting or sharing unsolicited advertising, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation.
• Uploading, posting or sharing private information of any third party including phone numbers, street addresses, last names, credit card numbers, etc.
• Uploading, posting or sharing a photo of another person without their consent.
• Uploading, posting or sharing any material that contain software viruses, code or files designed to interrupt or destroy any computer component.
• Attempting to use another's account or using the account of another Member.
• Selling or transferring your account.
• Uploading, posting or sharing anything that is objectionable or which restricts or inhibits any other person from using or enjoying the Site or which may expose ceoMom or its users to any harm or liability of any type.

Proprietary Rights in Content

All content on ceoMom.com is the proprietary property of ceoMom, its users or its licensors with all rights reserved. No content ("Site Content") such as, but not limited to (and the arrangement of) articles, copy/text, graphics, designs, pictures, photos, video, any and all information, applications, software and other files may be modified, copied, distributed, reproduced, republished, downloaded, displayed, posted, transmitted or sold in any form or by any means, in whole or in part, without ceoMom's prior written permission unless the Site Content is your content and it has been legally published on ceoMom. ceoMom does not claim ownership rights of Site Content you post.

So long as you qualify for use of the Site, you are granted a limited license to access and use the Site and Site Content. You may download and/or print a copy of any portion of the Site Content for which you have properly gained access for the purpose of personal, non-commercial use keeping the copyright information attached. You may not post any content other than your own on any other medium including the Internet. This is strictly prohibited. Violation of this policy will result in termination of your account and possible legal action.

By posting any Site Content, you hereby grant ceoMom a limited license to use, modify, publicly display, reproduce and distribute your content through the ceoMom Services. This license provides ceoMom, for example, the ability to resize and optimize your images to fit with the specifications of the Site or to edit your Tips to match Site grammar and style. This license you grant to ceoMom is non-exclusive (meaning you are free to post your Content anywhere else), transferable, worldwide, fully-paid and royalty-free (meaning ceoMom is not required to pay you for any content you post). This license will terminate when you remove your Content. ceoMom cannot sell your Content or distribute your Content outside of the ceoMom Services.

Furthermore, you represent and warrant that you own the Content posted by you on or through the ceoMom Services or otherwise have the right to grant the license as explained. You also warrant your Content will not violate the privacy rights, copyrights or any other rights of any person. You agree to pay for all royalties or any other fees owing any person by reason of any Content posted by you.

ceoMom Services contain Content of ceoMom ("ceoMom.com") and that Content is protected by copyright, trademark, trade secret and other laws. ceoMom owns and retains all rights in the ceoMom Content.

Third Party Websites and Content

ceoMom.com contains links to other web sites ("Third Party Sites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties. Such Third Party Sites are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Sites accessed through the Site. Inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Applications, Software or Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third Party Sites, you do so at your own risk and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices of any site to which you navigate from the Site.

User Disputes

You are solely responsible for your interactions with other ceoMom users. We reserve the right, but have no obligation, to monitor disputes between you and other users. Disclaimers

ceoMom is not responsible or liable in any manner for any user Content posted on the Site, by ceoMom, by third parties or by any programming associated with the Site or the Service. Although we provide rules for user conduct and postings, we do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Content. ceoMom is not responsible for the conduct, whether online or offline, of any user of the Site or Service.

ceoMom is not responsible for the Content, accuracy or opinions expressed on Third Party websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by ceoMom. Inclusion of any linked website on the ceoMom Services does not imply approval or endorsement of the linked website by ceoMom. When you access these third-party sites, you do so at your own risk. ceoMom takes no responsibility for third party advertisements which are posted on ceoMom.com or through the Site's Services, nor does it take any responsibility for the goods or services provided by its advertisers.

ANY AND ALL CONTENT AVAILABLE ON CEOMOM.COM INCLUDING ARTICLES AND USER POSTED MATERIAL IS GENERAL EDUCATION AND IS NOT INTENDED AS PROFESSIONAL, MEDICAL, LEGAL, FINANCIAL OR CLINICAL ADVICE. BY USING THE SITE, YOU DO SO UNDERSTANDING THAT NEITHER CEOMOM, USERS, MEMBERS, OR ANY THIRD PARTY PEOPLE OR GROUPS ARE ENGAGED IS PROVIDING ADVICE INCLUDING, BUT NOT LIMITED TO, PROFESSIONAL, MEDICAL, LEGAL, FINANCIAL OR CLINICAL ADVICE, FOR ANY PROBLEM. The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. ceoMom assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. ceoMom is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including injury or damage to User's or to any other person's computer, or other hardware or software, related to or resulting from using or downloading materials in connection with the Web and/or in connection with the Service.

UNDER NO CIRCUMSTANCES SHALL CEOMOM BE RESPONSIBLE FOR ANY LOSS OR DAMAGE, INCLUDING PERSONAL INJURY OR DEATH, RESULTING FROM USE OF THE CEOMOM SERVICES, FROM ANY CONTENT POSTED ON OR THROUGH THE CEOMOM SERVICES OR FROM THE CONDUCT OF ANY USERS OF THE CEOMOM SERVICES, WHETHER ONLINE OR OFFLINE. CEOMOM SERVICES ARE PROVIDED "AS-IS" AND AS AVAILABLE AND CEOMOM EXPRESSLY DISCLAIMS ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. CEOMOM CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE CEOMOM SERVICES.

ceoMom does not represent or warrant that software, content or materials on the site are accurate, complete, reliable, current or error-free or that the site or services are free of viruses or other harmful components. Therefore, you should exercise caution in the use and downloading of any such software, content or materials and use industry-recognized software to detect and disinfect viruses. You do so at your own discretion and risk and are solely responsible for your use thereof and any damages to your computer system, loss of data or other harm of any kind that may result.

ceoMom reserves the right to change any and all content, software and other items used or contained in the Site and any Services offered through the Site at any time without notice. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by ceoMom.

Limitation on Liability

In no event will ceoMom or its directors, employees or agents be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including for any lost profits or lost data arising from your use of the site or the service, any platform applications or any of the site content or other materials on, accessed through or downloaded from the site, even if ceoMom is aware or has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, ceoMom's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to ceoMom for the service during the term of membership, but in no case will ceoMom's liability to you exceed $500. You acknowledge that if no fees are paid to ceoMom for the service, you shall be limited to injunctive relief only, unless otherwise permitted by law, and shall not be entitled to damages of any kind from ceoMom, regardless of the cause of action.

Disputes

By visiting or using the Site and/or the Service, you agree that the laws of the State of Utah, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and ceoMom or any of our affiliates. With respect to any disputes or claims not subject to arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Utah, and you hereby consent to, and waive all defenses of lack of personal jurisdiction, venue and jurisdiction in the state and federal courts of Utah.

You and ceoMom agree that, except as may otherwise be provided in regard to specific services on the site in any specific terms applicable to those services, the sole and exclusive forum and remedy for any and all disputes and claims relating in any way to or arising out of these terms of use, the site and/or the service (including your visit to or use of the site and/or the service) shall be final and binding arbitration, except that either of us has in any manner infringed upon or violated or threatened to infringe upon or violate the other party's patent, copyright, trademark or trade secret rights, or you have otherwise violated any of the user conduct rules set forth above then the parties acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought.

Either ceoMom or you may demand that any dispute between ceoMom and you about or involving the ceoMom Services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Salt Lake City, Utah USA, provided that the foregoing shall not prevent ceoMom from seeking injunctive relief in a court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration or claim under these terms of use shall be joined to any other arbitration or claim, including any arbitration or claim involving any other current or former user of the service, and no class arbitration proceedings shall be permitted. In no event shall any claim, action or proceeding by you related in any way to the Site and/or the Service (including your visit to or use of the Site and/or the Service) be instituted more than three (1) years after the cause of action arose.

Indemnity

You agree to indemnify and hold ceoMom, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of your use of the ceoMom Services, violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the ceoMom Website or through the ceoMom Services causes ceoMom to be liable to another.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions"), provided by you to ceoMom are non-confidential and shall become the sole property of ceoMom. ceoMom shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Other

This Agreement is accepted upon your use of the ceoMom Website or any of the ceoMom Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and ceoMom regarding the use of the ceoMom Services. The failure of ceoMom to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
